Terms of Use

The Platform is reserved for invited users. Accounts are personal and non-transferable. You must keep your credentials confidential and notify us immediately of any suspected unauthorised use. You may not share your access with third parties, including colleagues, who have not been individually invited.

Access to property-specific information is conditional on accepting a separate confidentiality undertaking (NDA) for each opportunity. Each NDA is a distinct, binding agreement; these Terms supplement and do not replace it. In case of conflict between an NDA and these Terms regarding confidential information, the NDA prevails.

Content on the Platform — including teasers, data-room documents and notifications — is provided for information purposes in the context of potential transactions. It does not constitute a public offer, a prospectus, or investment, legal or tax advice. Any transaction is subject to separate negotiated agreements.

Neither P&M nor the respective property owners warrant the accuracy or completeness of the information made available. To the extent permitted by law, any liability for errors or omissions in such information is excluded.

You agree not to:

• circumvent or attempt to circumvent access controls;
• scrape, bulk-download or systematically extract Platform content;
• upload unlawful content or files containing malicious code;
• use the Platform for any purpose other than evaluating and executing the transactions for which you were granted access.

For evidentiary and security purposes, the Platform records actions such as NDA acceptances, document downloads and offer submissions, together with technical metadata (timestamp, IP address, browser identifier). Details are set out in the Privacy Policy.

The Platform, its design and software remain the property of P&M or its licensors. Documents made available through data rooms remain the property of their respective owners and may be used solely as permitted by the applicable NDA.

We may suspend or terminate access at any time, in particular in case of breach of these Terms or of an NDA, or when a transaction process ends. Obligations relating to confidential information survive termination in accordance with the applicable NDA.

To the extent permitted by Swiss law, P&M excludes liability for indirect or consequential damage and for damage caused by slight negligence. Mandatory statutory liability — including for intent and gross negligence — remains unaffected. The Platform is provided "as is"; temporary unavailability does not give rise to any claim.

We may amend these Terms with effect for the future. The version published on the Platform applies; material changes will be communicated to registered users. Continued use after a change constitutes acceptance.

These Terms are governed by Swiss law, excluding its conflict-of-law rules. The exclusive place of jurisdiction is Lugano, Switzerland.
